Responsible for handling the broad functions of the corporate Legal and Risk Management Department. Strong legal background with a high level of independence and excellent verbal and written communication skills is required.


As the Company’s chief legal counsel and in order to effectively protect and defend the Company, the General Counsel has to fulfill a wide variety of duties and responsibilities that touch every aspect of the business. The primary duty is to maintain legal compliance and to reduce exposures to legal claims.


  • Provide a full range of legal support to all Company departments and divisions including drafting agreements and policies.
  • Keep updated on the laws and regulations applicable to the Company.
  • Develop, coordinate and manage litigation strategy, both from first line and on a supervisory basis with outside counsel. Draft pleadings, research and brief writing, respond to discovery, take and defend depositions, appear at court proceedings, and participate in resolution process.
  • Provide counsel to Human Resources. Participate in employment matters (including corporate Open Door and ADR programs). Handle harassment/discrimination claims, unemployment, workers’ compensation and other civil claims. Respond to requests for information, file reviews, provide legal opinions.
  • Participate in hearings and consultation on various legal issues involving US, Canada and Puerto Rico.
  • Draft position statements and other documents in civil administrative matters.
  • Draft and review non-disclosure agreements, distributor agreements, customer agreements and other legal documents as required.
  • Handle collection matters and commercial dish machine recovery.
  • Conduct investigations involving product issues and claims.
  • Prosecute violations of employment agreements (confidentiality and non-compete).
  • Corporate compliance (EEO, Affirmative Action, HR issues- handbooks, Product Risk, Cyber Security, Corporate Policies). Prepare and conduct training programs.
  • Intellectual Property matters includes: researching trademarks, filing trademark applications and responding to trademark office actions, prosecuting and defending infringement claims involving trademarks and patents.
  • Manage corporate real estate including purchase and sale of properties, leases, construction projects (contract drafting, selecting contractors/architects), property tax appeals, environmental issues, landlord/tenant matters.
  • Partner with supply chain to develop purchasing terms and conditions.
  • Work with acquisition team on deals including due diligence and document preparation.
  • Responsible for the Risk Management function: securing all forms of coverage and claims process.
  • Interact with marketing including product literature review.
  • Handle service of process and third party subpoenas.
  • Maintain knowledge base of Company information, documents and records.
  • Fiduciary committee advisory role for corporate benefit plans including 401k plans.
  • Participate in meetings and corporate planning with officer team.
  • Corporate Secretary and contract signatory.
  • Manage departmental budget.
  • Supervise administrative staff as required.


  • Juris Doctor degree
  • 4+ years of legal experience
  • Active license to practice law in Ohio
